1. IDENTIFICATION DETAILS
1.1. SECUWARE, S.L. (henceforth, SECUWARE) is a company with registered offices at calle Diego de León, 11, 1º izq, 28006 Madrid with CIF of B-82113242. Their contact e-mail is as follows: info@secuware.com.

This company is registered in the Madrid Companies Registry, dated the 11th of August 1998, book 0, volume 13,492, Folio 162.

1.2. Likewise, the domain name, owned by SECUWARE, is www.secuware.com, and is registered by SECUWARE in the Madrid Companies Register.

Said domain may not be used in connection with other contents, products or services not owned by SECUWARE in any way that might cause confusion among final users or bring about discredit to SECUWARE.

2. OBJECT AND SCOPE OF APPLICATION
2.1. These are the conditions of use (henceforth conditions of use or legal notice) which regulate access, navigation and use of the www.secuware.com (henceforth, SECUWARE.COM or Web Site), as well as responsibilities arising from the use of its contents (henceforth, "contents" are understood to be those texts, graphics, drawings, design, code, software, photographs, music, video, sound, data bases, images, expressions and information as well as any other creation protected by national law and international treaties concerning intellectual and industrial property).

2.2. It is understood that access or mere use of SECUWARE.COM by the user implies acceptance of the conditions of use that SECUWARE has published at any time. Consequently, the user must carefully read these general conditions.
In this respect, the user is understood as the person who accesses, navigates, uses or participates in free or paid activities carried out at SECUWARE.COM.

2.3. These conditions of use are addressed at regulating the access, navigation and use of SECUWARE.COM, but regardless of the same, SECUWARE may establish certain general/specific conditions that regulate the use and/or contracting of specific products offered to users via the web page.

Likewise, via SECUWARE.COM, SECUWARE may enable third party entities to advertise or offer their services, either via the insertion of links to their respective web pages or via banners. In these cases, SECUWARE is not responsible for establishing general and specific conditions to take into account in the use, provision or contracting of these services by third parties and, therefore, will not be considered as responsible for same.

2.4. Before using services and/or contracting SECUWARE products, the user must carefully read the corresponding general/specific contractual conditions created to this effect by SECUWARE. The use and/or contracting of software products via SECUWARE.COM implies acceptance of the general contractual conditions applicable and published by SECUWARE at the moment when said use and/or contracting occurs.

3. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
3.1. SECUWARE is the owner of, or has obtained the corresponding licence over, rights to exploitation of the intellectual and industrial property rights of SECUWARE.COM, as well as intellectual, industrial image rights over the contents and products available via this website.

3.2. Under no circumstances will it be understood that access and navigation of web site by the user or the acquisition of SECUWARE products offered via SECUWARE.COM, implies relinquishment, licence, transfer or full or partial assignment of said rights by SECUWARE.

3.3. Consequently, it is not permitted to delete, evade or manipulate the notice of author’s rights ("copyright") and any other details concerning the identification of SECUWARE rights or its incorporated ownership of contents and products, as well as technical protection techniques, fingerprints or any other information and/or identification mechanisms that might be contained in same.

3.4. Likewise, it is prohibited to modify, copy, reuse, use, reproduce, publicly communicate to second or subsequent publications, load files, send by mail, transfer, use, manage or distribute in any form all or part of the contents and products included in SECUWARE.COM for commercial and public purposes, without the express written authorisation of SECUWARE or, as appropriate, the owner of the corresponding rights.

4. ACCESS
4.1. Access to SECUWARE.COM by users is open and free of charge. Nevertheless, certain services and products offered by SECUWARE will be subject to prior contracting of the service and payment of a sum of money in the form determined in the corresponding General Contractual Conditions.

4.2. When it is necessary for the user to register or input details to access specified services, for example, when requesting news or information or contracting products, the Privacy Policy contained in SECUWARE.COM will apply to the collection and processing of personal user details.

4.3. The contracting of products and services via SECUWARE.COM by minors is prohibited, and they must duly obtain the prior permission of their parents, guardians or legal representatives, who will be considered as responsible for any acts carried out by the minors in their charge, in accordance with current legislation.

5. USE OF THE WEB SITE
5.1. The contents and products offered via SECUWARE.COM are provided solely for final users: home or professional users. Any unauthorised commercial use of same, or their resale, is prohibited except with the prior written authorisation of SECUWARE, or if the product is specially designed for resale or distribution and is determined thus by SECUWARE.

5.2. If the user must register for the use and/or contracting of a service at SECUWARE.COM, he/she will be responsible for providing truthful and lawful information. If the user is provided with a password as a result of registration, he/she will undertake to use the same diligently and keep it secret. Consequently users are responsible for the appropriate safekeeping and confidentiality of any identifiers and/or passwords provided by SECUWARE, and promise not to assign their use to third parties, whether on a temporary or permanent basis, nor to permit their access to other persons. Any unlawful use of the services by any illegitimate third party using a password obtained as a result of careless use or the loss of same by the user will be the responsibility of the user.

5.3. By virtue of the above, the user must immediately notify SECUWARE of any fact leading to the improper use of identifiers and/or passwords, such as theft, loss or unauthorised access to same, with a view to immediate cancellation. Should such facts not be communicated, SECUWARE is exempt from any responsibility that may arise from the improper use of identifiers or passwords by unauthorised third parties.

5.4. Access, navigation and use of SECUWARE.COM is the responsibility of the user, for which reason the user undertakes to diligently and faithfully observe any additional instructions given by SECUWARE or personnel authorised by SECUWARE relating to the use of SECUWARE.COM and its contents and products.

5.5. Therefore, the user must use contents and products diligently, correctly and lawfully, in particular promising to refrain from:

- using them with purposes or intentions against law, morals, generally accepted good custom or public order and instructions received from SECUWARE.

- reproducing or copying, distributing, enabling access to the public via any public communications media, transforming or modifying products unless authorised so to do by the owner of the corresponding rights, or as legally permitted.

- using the contents and products and, in particular, the information or any type obtained via the page or services to send advertising, communications for the purpose of direct sale or any other commercial aim, unsolicited messages aimed at a group of people, regardless of their purposes, as well as from selling or making available in any way the said information.

6. RESPONSBILITIES AND GUARANTEES
6.1. SECUWARE does not guaranty the reliability, usefulness or veracity of the services or information provided via SECUWARE.COM.

6.2. Consequently, SECUWARE does not guarantee nor take responsibility for: (i) Continuity in the contents of SECUWARE.COM; (ii) the absence of errors in said contents or products; (iii) the absence of viruses and/or other harmful components in SECUWARE.COM or the server that supplies it; (iv) invulnerability of SECUWARE.COM and/or the impregnability of security measures adopted in same; (v) failure of usefulness or performance of contents and products of SECUWARE.COM; (vi) harm or damages to itself or a third party caused by any person that infringes the conditions, regulations and instructions that SECUWARE has established in the web site or via the violation of SECUWARE.COM security systems.

Nevertheless, SECUWARE declares that it has adopted all necessary measures possible given technological limits to avoid the existence and transmission of virus and other harmful components to users.

6.3. In the event that third parties sell or market their products or services via SECUWARE.COM: a) the company that is offering or promoting said services or products and the features of same must be clearly stated b) SECUWARE is considered a mere intermediary in said services c) the third party company that sells or promotes its services or products via SECUWARE.COM will be identified as having sole responsibility in relation to such services or products.

7. LINKS

Links to other web sites
7.1. In SECUWARE.COM, the user may find links to other web sites via different buttons, links, banners, etc., and which are managed by third parties. SECUWARE does not have the power or the human or technical resources to know, control or approve all information, contents, products or services provided by other web sites that establish links from SECUWARE.COM. Consequently, SECUWARE can assume no type of responsibility for any aspect relating to the web page to which a link has been established from SECUWARE.COM, including but not limited to, functioning, access, data, information, files, quality and reliability of its products, services, its own links and/or any of its contents in general.
In this respect, if users are aware of unlawful activities carried out via this third party web page, they should report this immediately to SECUWARE, so that access links to the same may be disabled.

7.2. The establishment of any type of link by SECUWARE.COM to any other web site does not imply that there is any type of relationship, collaboration or dependency between SECUWARE and those responsible for the other web site.

Links from other web sites to SECUWARE.COM
7.3. If any user, body or web site wishes to establish any type of link to SECUWARE.COM, they must comply with the following conditions:

- The link may only connect to the main or home page of SECUWARE.COM, unless there is prior express written authorisation from SECUWARE.

- The link must be absolute and complete – that is to say, that it must take the user, by way of a click, to the full URL of SECUWARE www.secuware.com and must show the whole home page of SECUWARE.COM. Under no circumstances, unless expressly authorised in writing by SECUWARE, may the web site that carries the link reproduce SECUWARE.COM in any way, include it as part of its web page or as part of one of its "frames" or create a "browser" on any SECUWARE.COM page.

- The page that establishes the link may not in any way state that SECUWARE has authorised the said link, unless SECUWARE has done so expressly and in writing. If the entity that effected the link from its page to SECUWARE.COM wishes to correctly include within its web page the brand, name or business name, logo, stamp, slogan or any other type of identifying element of SECUWARE and/or of SECUWARE.COM, then they must do so only with express prior written authorisation.

- SECUWARE does not authorise the establishment of a link to SECUWARE.COM from any pages that contain illicit, unlawful, degrading, or obscene material, information or contents, or which, in general, contravene morality, public order or generally accepted social norms.

7.4. SECUWARE does not have the power nor the human and technical resources to know, control or approve all information, contents, products or services provided by other web sites that have established links with SECUWARE.COM. SECUWARE assumes no type of responsibility for any aspect relating to SECUWARE.COM that establishes a link to SECUWARE.COM, including but not limited to, its functioning, access, data, information, files, quality and reliability of its products and services, its own links and any of its contents in general.

8. DURATION AND MODIFICATION
8.1. SECUWARE may modify the terms and conditions stipulated herein totally or partially, publishing any change in the same way in which these conditions of use appear or via any type of communication aimed at users.

8.2. The validity of these conditions of use coincides therefore with the time of their display, until their total or partial modification, upon which the modified conditions will take effect.

8.3. SECUWARE may terminate, suspend or interrupt, at any time and without the need for prior notification, access to page contents, without entitling the user to any type of indemnification. Following the said cancellation, those prohibitions of use of contents stated above in these general conditions will remain in force.

8.4. If the user has contracted a product or service provided by SECUWARE for which monetary payment must be made, such acquisition will be governed by the provisions set out in General/Specific Contractual Conditions, accessible via SECUWARE.COM.

9. GENERAL
9.1. The headings of different clauses are merely informative and do not affect, qualify or extend the interpretation of conditions of use.

9.2. In the event of any discrepancy between the provisions established in these conditions of use and the specific conditions of each service specified, the latter will prevail.

9.3. In the event that any requirement/s of these conditions or use is/are considered void or inapplicable, said nullity or inapplicability will not affect conditions of use or the specific conditions of different SECUWARE services.

9.4. The execution or non-execution by SECUWARE of any right or requirement contained in these conditions of use will not constitute the relinquishment of same, except with recognition and agreement in writing on its part.

10. JURISDICTION
10.1. The relations established between SECUWARE and the user will be governed by regulations in force concerning applicable legislation and competent jurisdiction. Nevertheless, in cases where regulations envisage the possibility of the parties submitting to a jurisdiction, SECUWARE and the user, expressly waiving any other jurisdiction that might apply, submit to the judges and courts of the city of Madrid.
